Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Minutely service, operated at useminutely.com ("Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Minutely is an AI-powered writing and email scheduling tool that allows users to generate written content using artificial intelligence and schedule that content for delivery via email. The Service is designed as a productivity tool to assist with drafting and scheduling communications.

2. Eligibility

You must be at least 13 years old to use the Service. By using Minutely, you represent that you meet this age requirement. If you are under 18, you represent that you have obtained consent from a parent or legal guardian.

3. Account Registration

You must sign in using a valid Google account. You are responsible for maintaining the security of your account and for all activity that occurs under it. Notify us immediately at hello@useminutely.com if you suspect unauthorized access to your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You are solely responsible for all content generated, scheduled, and sent through the Service, including compliance with:

• Your educational institution's academic integrity policies
• Applicable laws and regulations in your jurisdiction
• The terms of service of any third-party platforms you interact with through the Service

4.1 Prohibited Uses

You may not use the Service to:

• Send spam, unsolicited commercial email, or harassing messages
• Impersonate another person or entity in a manner that deceives recipients
• Send content that is defamatory, abusive, threatening, or illegal
• Attempt to circumvent rate limits, security measures, or access controls
• Use the Service in a way that interferes with or disrupts other users or our infrastructure
• Resell, sublicense, or otherwise commercialise access to the Service without our written consent
• Use automated scripts or bots to abuse the AI generation features

5. AI-Generated Content

The Service uses AI models to generate text based on your prompts. You acknowledge that:

• AI-generated content may be inaccurate, incomplete, or inappropriate for your purposes
• You are responsible for reviewing all generated content before it is sent
• We do not guarantee that AI-generated content will meet any particular standard or pass any review process
• You retain ownership of content you create using the Service, subject to applicable laws

6. Academic Integrity

Minutely is a writing assistance tool. You are solely responsible for ensuring your use of the Service complies with your educational institution's policies on academic integrity, plagiarism, and AI-assisted work. We do not monitor or enforce such policies on your behalf. Violations of academic integrity policies are entirely your responsibility.

7. Gmail Integration

If you connect your Gmail account, you authorize Minutely to send emails on your behalf using the Gmail API. You may revoke this authorization at any time. You are responsible for all emails sent through your Gmail account via the Service. We exercise no editorial control over email recipients or content beyond what you schedule.

8. Intellectual Property

The Minutely name, logo, and interface are our intellectual property. You may not reproduce, distribute, or create derivative works from our proprietary materials without written consent. Content you generate using the Service belongs to you, subject to our right to use anonymized data to improve the Service.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Service Availability and Changes

We provide the Service on an "as is" and "as available" basis. We may modify, suspend, or discontinue the Service at any time with or without notice. During beta, the Service is provided free of charge. We reserve the right to introduce paid plans in the future. We will provide reasonable notice of any such changes.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT EMAILS WILL BE DELIVERED AT ANY PARTICULAR TIME.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINUTELY AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) £50 (FIFTY POUNDS STERLING).

13. Indemnification

You agree to indemnify, defend, and hold harmless Minutely and its operators from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, if you violate these Terms or engage in conduct we determine to be harmful. You may terminate your account at any time by contacting us at hello@useminutely.com. Upon termination, your right to use the Service ceases immediately.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory consumer protection laws in your jurisdiction provide otherwise.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting a notice on the Service or emailing your registered address. Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
